Otsuka Holdings Reports Strong Q3, Announces Share Buyback and Governance Shift

Otsuka Holdings posted a significant 19.2% year-over-year increase in business profit for the third quarter of fiscal year 2026, reaching ¥436.884 billion. This growth was fueled by strong sales of key pharmaceutical products, including Lexalty and Lonsurf, alongside increased royalty revenue. Overall revenue for the quarter rose 12.3% to ¥2,042.439 billion.

The positive results prompted the company to approve a substantial share buyback program during a board meeting on October 30th. The total value of the repurchase program is capped at ¥50 billion, with the potential to acquire up to 7 million shares. Following the buyback, Otsuka Holdings also resolved to cancel 4,537,700 shares of its common stock on December 11, 2026, a move that will impact the company’s capital structure and potentially enhance shareholder value.

Alongside the financial results and capital management initiatives, Otsuka Holdings announced a strategic shift in its corporate governance structure. The company intends to transition from a company with a statutory auditor board to one with an audit and supervisory board, pending approval at the March 2027 shareholder meeting. This change aims to strengthen the oversight function of the board of directors, expedite decision-making, and improve the overall effectiveness of corporate governance. The company stated this move is a continuation of its ongoing efforts to enhance its governance framework amidst a rapidly changing business environment.

Operating profit increased by 4.0% year-over-year to ¥423.733 billion, while net profit attributable to owners of the parent company rose 8.2% to ¥322.105 billion. The company’s healthcare-focused strategy continues to drive growth, with the success of products like VOYXACT, a treatment for IgA nephropathy, contributing to the positive financial performance. The company’s consumer-related business also saw growth, driven by strong performance of brands like Pocari Sweat and Nature Made.

These results reflect Otsuka Holdings' continued focus on innovation and strategic growth within the healthcare sector. The combination of strong financial performance, proactive capital management, and a commitment to improved corporate governance positions the company for sustained success in a dynamic market.
