Mega Financial to Lose Control of Investment Trust Subsidiary
Mega Financial Holding Co. is set to lose control of its subsidiary, Mega Securities Investment Trust, as part of a broader consolidation within Taiwan’s public sector investment trust industry. The company announced on October 22nd that Mega Securities Investment Trust will be absorbed by First Financial Securities Investment Trust, along with Cooperative Bank and Bank of Taiwan’s respective trust arms.
The decision, approved by both the audit committee and board of directors, is driven by a strategic initiative to integrate resources, expand operational scale, and bolster market competitiveness among state-owned financial institutions. According to the filing, the merger will result in First Financial Securities Investment Trust remaining as the surviving entity, with Mega Securities Investment Trust ceasing to exist. Mega Financial will exchange its entire 52.7 million shareholding in Mega Securities Investment Trust for shares in the surviving company.
The exchange will be conducted at a ratio of 1.4532 shares of Mega Securities Investment Trust for 1 share of First Financial Securities Investment Trust, representing a non-cash transaction. Independent appraiser Wu Mengda of Kuo-Fu Hau & Associates deemed the transaction price reasonable. Upon completion, Mega Financial is expected to hold approximately 30.4% of the shares in the merged First Financial Securities Investment Trust. While the merger will lead to the dissolution of Mega Securities Investment Trust, the filing suggests that Mega Financial will continue to recognize the earnings of the combined entity proportionate to its shareholding.
The restructuring reflects a broader trend towards consolidation within Taiwan’s financial sector, aiming to create more competitive and resilient institutions. The move is anticipated to yield synergies through the integration of investment research, product offerings, and distribution channels. The filing indicates that the specific effective date of the merger remains contingent upon securing necessary regulatory approvals and completing related procedures.
