JD.com's Ceconomy Takeover Cleared With EU Conditions
JD.com’s €2.2 billion takeover of Ceconomy, the parent company of MediaMarkt and Saturn, is set to proceed after receiving conditional approval from the European Commission, as confirmed in a series of announcements on November 3, 2026. This removes the final major obstacle to the acquisition, with all conditions for the offer now satisfied.
The EU Commission’s approval comes with stipulations designed to prevent potential market distortions stemming from state subsidies received by JD.com. Specifically, the Commission found that JD.com has benefited from preferential financing, tax breaks, and grants from the Chinese government. Concerns centered on the risk that these subsidized funds could be used to undercut competitors through aggressive pricing, leveraging Ceconomy’s market position. To address these concerns, the companies are obligated to conduct all internal transactions—particularly financial arrangements—between JD.com and Ceconomy at market rates for the next ten years, effectively preventing cross-subsidization.
This decision follows a period of scrutiny from authorities in multiple countries, including Germany, which also imposed conditions to protect customer data and retain oversight rights. The German approvals allow for potential revocation of the deal if those conditions are breached. Ceconomy, which generated €24 billion in revenue during its last fiscal year and reported a 27% increase in adjusted EBIT to €515 million, is a significant player in the European electronics retail landscape, ranking as the largest in Europe and fourth largest online retailer in Germany, behind Amazon, Otto, and Zalando.
JD.com maintains that its business model and strategic direction will remain unchanged, framing the acquisition as a catalyst for accelerated growth. While the EU Commission’s decision represents a significant step forward, the long-term impact of the conditions imposed—and their ability to effectively safeguard competition—remains to be seen. The success of the integration will hinge on JD.com’s ability to operate Ceconomy as a commercially independent entity, subject to the same market forces as its rivals.
