ANA Holdings to Acquire Regional Plus Wings in Stock Exchange
ANA Holdings will move forward with plans to acquire Regional Plus Wings, initiating a stock exchange that aims to make the latter a fully-owned subsidiary, the company announced October 29th. The agreement signals a strategic shift to consolidate regional airline operations and address evolving market pressures.
Despite a 5.8% year-over-year decrease in operating profit during the first half of fiscal year 2027, ANA Holdings reported revenues of ¥760.85 billion. The decline in profitability is attributed to rising fuel costs, which offset gains from increased passenger demand, particularly on international routes. The company’s consolidated net profit for the period reached ¥67.086 billion, a substantial drop from the ¥81.562 billion reported in the same period last year. The operating results reflect a challenging landscape for airlines, marked by fluctuating fuel prices and a changing demand structure.
The proposed acquisition of Regional Plus Wings, which operates AIRDO and Solaseed Air, is intended to strengthen ANA’s domestic network and improve efficiency. Both companies have maintained a long-standing collaborative relationship, including joint operations and capital ties, but the agreement aims to overcome limitations stemming from operating as independent entities. The move comes after deregulation in May 2026 removed restrictions on major airlines investing in regional carriers, opening the door for greater consolidation.
ANA anticipates that the transaction will result in synergies through enhanced network connectivity, streamlined operations, and optimized resource allocation. While the brands of AIRDO and Solaseed Air will initially be maintained, a potential integration into the ANA brand is being considered in the medium term. The company's stated goal is to ensure the sustainability of the domestic aviation network and improve customer value.
ANA Holdings reported an interim net profit of ¥67.086 billion, down from ¥81.562 billion in the same period last year. While revenue increased to ¥760.85 billion, operating profit fell 5.8% to ¥88.16 billion due to rising fuel expenses. The company’s financial performance underscores the challenges facing the airline industry, with increased costs offsetting gains from recovering demand. The proposed acquisition of Regional Plus Wings represents a strategic move to navigate these challenges and secure a stronger position in the domestic market.
